Arnold R. Wallenstein is the Principal of the Energy Law Group. Mr. Wallenstein has over 40 years of experience in all phases of the energy business, covering all technology types- including, solar, wind, hydrogen and natural gas facilities. 

 

His experience includes drafting and negotiating equity investment agreements, mezzanine and senior secured long term debt financing and credit agreements, due diligence, state and FERC regulatory requirements, energy hedging transactions, operational issues, EPC construction agreements and issues  and commercial  contracts of all kinds, and management of complex litigations and arbitrations.

Bio and experience for Arnold R. Wallenstein

Principal Member of the Energy law Group

Mr. Wallenstein is a graduate of Harvard Law School and the Harvard School of Public Health with an M.S. Environmental Health Science.

​

He specializes in renewable energy project development, due diligence, real estate and title issues, equity and debt financings, EPC agreements, energy hedging transactions, tax equity investments NYISO, PJM Interconnection, ISO-NE, state and FERC energy regulatory requirements, and arbitration and litigation management.

 

Mr. Wallenstein was Senior Vice President and General Counsel for Advanced Power Services (NA) Inc. for over 14 years  and General Counsel of Thermo Ecotek Corporation, the publicly traded independent power subsidiary of Thermo Electron Corporation (n/k/a Thermo Fisher Scientific Corp.) for over 16 years. 

At Advanced Power he was the lead attorney for:

  • The development, financing and construction or acquisition of grid scale natural gas, wind and solar electric power generation facilities, including billions of dollars of debt and equity non-recourse project financings;

  • Drafting and negotiation of long term equity partnering/joint venture agreements with industrial partners such as Siemens Corporation, General Electric, TIAA-CREF, Blackrock and Japanese utilities and trading companies;

  • NYISO, PJM and ISO-NE interconnections and market rules and related FERC proceedings;

  • Negotiation and drafting of Engineering, Procurement and Construction agreements, power purchase and sale, long term gas supply and transportation and Operation and Maintenance agreements, land purchase, title insurance and commercial agreements;

  • ISDA/hedging and risk management agreements; and

  • Management of  complex litigation and arbitration.

 

At Thermo Ecotek he was lead attorney for development, construction and operation of over 20 multi-hundred million dollar domestic and international power and infrastructure  projects, including electric power generation and cogeneration plants, biomass fired plants, coal processing, waste to energy and natural gas pipeline/gas gathering/gas storage facilities.

Prior to Advanced Power Mr. Wallenstein was in private law practice represented companies and utilities in the energy and power business.

​

Mr. Wallenstein is on the American Arbitration Association National Panel of Commercial Arbitrators and National Energy Panel since 2000 and is also on AAA's National Consumer Panel arbitrating cases on energy issues with millions of dollars in damages claimed.

 

Mr. Wallenstein was also legal counsel to the New England Regional Commission/New England Governors Conference where he analyzed, drafted  environmental and energy legislation and regulation and made policy recommendations on energy and environmental matters to the six New England Governors.

 

Mr. Wallenstein has been on the of Governors Board of Governors, Cape Light Compact which purchases power for 200,000 people on Cape Cod).
